The structure signals where the combined company sees growth: a standalone Global Flavor division explicitly positioned to serve food, beverage, and consumer health manufacturers — a direct callout to the functional ingredients and fortified product development segment.
Four Divisions, One Flavor Mandate
The combined company will operate through Americas Consumer ($8 billion in 2025 annual sales), International Consumer ($7 billion), Global Food Service ($4 billion), and Global Flavor ($2.5 billion). For operators in the functional foods and nutraceutical space, the Global Flavor division carries the most immediate relevance. It will supply customized specialty flavors, seasonings, condiments, and coatings to global food, beverage, and consumer health companies, as well as restaurant chains — connecting customer needs, consumer insights, and technical expertise across markets to deliver differentiated finished-formulation solutions. That mandate aligns closely with the masking and palatability challenges that define high-load supplement and functional food development, where bitterness from botanicals, adaptogens, and bioactive compounds remains a persistent formulation hurdle.
The Global Food Service division, valued at $4 billion in combined 2025 sales, merges Unilever Foods' back-of-house culinary expertise with McCormick's brand-driven front-of-house capabilities — a pairing that could accelerate better-for-you menu innovation in foodservice channels, where clean-label and reduced-sodium reformulation demand has intensified among chain operators.
R&D Depth and What It Means for Formulation Partners
The deal's structural geography matters for ingredient and formulation buyers. The combined company will maintain its International Headquarters and substantial R&D presence in the Netherlands, where Unilever Foods has long operated world-class flavor science facilities. Heike Steiling will serve as EVP, Chief R&D Officer, overseeing a technical platform that spans both legacy organizations. For co-manufacturing partners and functional ingredient suppliers developing novel applications — think heat-stable probiotic delivery, plant-based seasoning systems, or GLP-1-adjacent satiety-supporting products — the scale and depth of that R&D infrastructure represents a meaningful shift in what a flavor supplier can offer.

The combined company will carry NYSE as its primary listing, with McCormick seeking a secondary admission to the London Stock Exchange at close to reflect the global nature of Unilever Foods' current shareholder base. A transition services agreement framework — lasting up to 24 months post-close — will govern operational continuity across both legacy businesses. McCormick has indicated it will provide detail on anticipated revenue and cost synergies before the end of the third quarter.
